Terms of Use / End User License Agreement (EULA)

1. Agreement to Terms

By downloading, installing, accessing, or using Spech AI (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Spech AI ("we," "our," or "us") regarding your use of the App.

2. Description of Service

Spech AI is a mobile application that provides:

  • Speech recording and analysis tools
  • AI-powered feedback on speech patterns, pacing, and clarity
  • Daily challenges and practice exercises
  • Access to famous speeches and orators
  • Premium features available through subscription

3. Eligibility

You must be at least 13 years old (or 16 years old in the European Economic Area) to use the App. By using the App, you represent and warrant that:

  • You are of legal age to form a binding contract
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations

4. User Accounts

4.1 Account Creation

  • You may create an account using Apple Sign-In or Google Sign-In
  • You are responsible for maintaining the confidentiality of your account
  • You agree to provide accurate and complete information

4.2 Account Security

  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized use of your account
  • We are not liable for any loss or damage arising from unauthorized account access

5. Subscriptions and Payments

5.1 Subscription Plans

Spech AI offers auto-renewable subscriptions:

  • Premium Monthly: Monthly subscription with automatic renewal
  • Premium Annual: Annual subscription with automatic renewal

5.2 Subscription Terms

  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • You will be charged the subscription fee to your Apple ID account at confirmation of purchase
  • Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase

5.3 Pricing

  • Subscription prices are displayed in the App and may vary by region
  • Prices are subject to change with notice
  • Any price changes will apply to subsequent subscription periods

5.4 Free Trial

  • If offered, free trials allow you to access premium features for a limited time
  • At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled
  • You can cancel during the trial period to avoid charges

5.5 Cancellation and Refunds

  • You may cancel your subscription at any time through your Apple ID account settings
  • Cancellation takes effect at the end of the current billing period
  • Refunds are handled by Apple according to Apple's refund policy
  • We do not provide refunds directly

6. Premium Features

6.1 Access to Premium Features

  • Premium features require an active subscription
  • Premium features include but are not limited to:
    • Advanced speech analysis and metrics
    • Unlimited recordings and analysis
    • Access to premium content and challenges
    • Priority support

6.2 Feature Availability

  • We reserve the right to modify, suspend, or discontinue any feature at any time
  • Premium features may vary by subscription plan
  • We will provide reasonable notice of significant changes to premium features

7. User Content and Data

7.1 Your Content

  • You retain ownership of all content you create, upload, or record using the App
  • By using the App, you grant us a license to use, store, and process your content to provide the service
  • You are solely responsible for your content and its accuracy

7.2 Data Storage

  • Content is stored locally on your device
  • Some data may be synced to cloud storage for backup and synchronization
  • We implement security measures to protect your data, but cannot guarantee absolute security

7.3 Prohibited Content

You agree not to upload, record, or share content that:

  • Violates any laws or regulations
  • Infringes on intellectual property rights
  • Contains harmful, offensive, or inappropriate material
  • Violates privacy rights of others

8. Intellectual Property

8.1 App Ownership

  • The App, including all content, features, and functionality, is owned by Spech AI
  • All trademarks, logos, and brand names are our property or our licensors' property

8.2 License to Use

  • We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes
  • This license is revocable at any time
  • You may not copy, modify, distribute, or create derivative works of the App

9. Prohibited Uses

You agree not to:

  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the App or its systems
  • Reverse engineer, decompile, or disassemble the App
  • Use automated systems to access the App
  • Interfere with or disrupt the App's operation
  • Share your account credentials with others

10. Termination

10.1 By You

  • You may stop using the App at any time
  • You may cancel your subscription as described in Section 5.5

10.2 By Us

We may terminate or suspend your access to the App immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • We discontinue the App or service

10.3 Effect of Termination

  • Upon termination, your right to use the App ceases immediately
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination will remain in effect

11. Disclaimers and Limitations of Liability

11.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11.3 Maximum Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Spech AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content

13. Changes to Terms

13.1 Modifications

  • We reserve the right to modify these Terms at any time
  • Material changes will be notified through the App or via email
  • Continued use of the App after changes constitutes acceptance of the new Terms

13.2 Notice of Changes

  • We will provide at least 30 days' notice for material changes
  • Changes to subscription terms will be communicated before renewal

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.2 Dispute Resolution

  • Any disputes arising from these Terms shall be resolved through binding arbitration
  • You waive your right to a jury trial or class action lawsuit
  • Arbitration shall be conducted in accordance with [Arbitration Rules]

15. Apple-Specific Terms

15.1 Apple as Third-Party Beneficiary

  • Apple is a third-party beneficiary of these Terms
  • Apple has the right to enforce these Terms against you

15.2 App Store Terms

  • Your use of the App is also subject to Apple's App Store Terms of Service
  • In case of conflict, Apple's terms take precedence for App Store-related matters

15.3 In-App Purchases

  • All purchases are processed by Apple
  • We do not handle payment processing directly
  • Apple's terms apply to all in-app purchases

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spech AI regarding your use of the App and supersede all prior agreements and understandings.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.

20. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

21. Acknowledgment

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
